Terms of Service
1. Contracting parties and acceptance
Last updated: June 19, 2026. These Terms form a binding agreement between you and VocaPass, a product operated by Demeng Technologies Co., Ltd. (得梦テクノロジーズ株式会社). By visiting VocaPass, creating an account, submitting support requests, starting a trial, purchasing digital access, or using any learning feature, you accept these Terms, the Privacy Policy, Refund, and checkout terms shown before payment.
2. Definitions
“Service” means the VocaPass website, production API, account system, vocabulary plans, word recitation, sentence recitation, review tests, static audio, static images, progress synchronization, support form, and payment-related account features. “Paid access” means the one-year non-renewing digital entitlement described at checkout.
3. Eligibility and account responsibility
You must be legally able to use the Service or have permission from a parent, guardian, school, or authorized organization where required. You are responsible for accurate account information, protecting your credentials, all activity under your account, and promptly using Support if you suspect unauthorized access or payment problems.
4. Educational service scope
VocaPass is a vocabulary learning product. It provides vocabulary-set planning, scene-backed word turns, pronunciation support, selected display-language explanations, approved usage sentences, selected display-language sentence meanings, review tests, and progress records. It does not guarantee admission, test scores, employment outcomes, certification, language proficiency, or uninterrupted learning availability.
5. Learning plans and content availability
Vocabulary sets, daily assignments, explanations, translations, sentences, audio, images, review items, and plan logic may be corrected, replaced, blocked, or updated to improve quality, remove unsuitable content, satisfy source restrictions, or meet legal, payment, security, or product requirements. Content requiring approval may be unavailable until source, localization, audio, image, review, and workload gates are satisfied.
6. Login security and abuse prevention
VocaPass uses credential validation, secure sessions, server-side rate limits, platform security controls, monitoring, and other non-blocking anti-abuse measures for login, registration, support, checkout preflight, and other security-sensitive actions. You must not bypass security controls, automate abusive account creation, probe endpoints, scrape content, attack service infrastructure, or interfere with normal availability.
7. Trial access, paid access, and delivery
Trial access, limited-free access, paid access, entitlement state, plan completion, and final-exam eligibility are controlled by the production API. Paid digital access is delivered electronically after successful payment confirmation, account authentication, and entitlement creation. No physical product is shipped.
8. Prices, taxes, and payment processing
The web price is fixed at 99 RMB/CNY for one-year non-renewing access. Price, currency, access duration, and refund disclosures are shown before checkout. Web payments are processed through Stripe or another approved tokenized provider. VocaPass does not collect or store raw card numbers, CVC codes, payment-account passwords, or sensitive authentication data.
9. One-year non-renewing access
Paid access is a one-year non-renewing digital entitlement. VocaPass does not automatically renew the one-year access product.
10. Refund window and billing disputes
Customers may request a product-level refund within 7 calendar days after paid access starts. Approved refunds revoke the paid entitlement and related final-exam eligibility. Requests outside that window may be declined unless applicable law, Stripe, card-network rules, chargeback processes, or platform rules require a reversal or refund outcome. 11. Acceptable use
You must not misuse accounts, share credentials for unauthorized access, bypass payment gates, resell learning content, copy bulk datasets, reverse engineer protected service logic, submit malicious code, impersonate others, abuse refunds, submit unlawful content, or use VocaPass in a way that harms users, infrastructure, payment systems, rights holders, or service integrity.
12. Intellectual property and limited license
The VocaPass name, interface, software, workflows, compiled vocabulary datasets, text arrangements, generated and curated learning assets, static audio, static images, page designs, and service branding are protected by intellectual-property and contract rights. During authorized access, you receive a personal, limited, revocable, non-exclusive, non-transferable license to use the Service for learning.
13. User submissions and feedback
If you submit support messages, suggestions, corrections, reports, or feedback, you grant VocaPass permission to use that material to operate, secure, support, analyze, and improve the Service without compensation. Do not submit confidential third-party data, full payment credentials, passwords, or materials you are not allowed to share.
14. Privacy and data records
VocaPass stores account, session, display-language, registration-country, learning-plan, progress, review, entitlement, support, security, and operational records as described in the Privacy Policy. Production user data is handled by the Cloudflare Worker API and Cloudflare D1 rather than local browser-only records.
15. Third-party services
VocaPass may rely on Cloudflare, Stripe, hosting providers, logging tools, email or support tooling, security vendors, and professional advisers. Third-party services may have their own terms and privacy notices. VocaPass is not responsible for third-party outages, payment-provider decisions, bank posting times, or processor actions outside its reasonable control.
16. Service changes, suspension, and termination
We may modify, suspend, restrict, or terminate access if needed for security, legal compliance, payment integrity, content quality, maintenance, abuse prevention, rights protection, or violation of these Terms. Where practical and appropriate, we may provide notice and an opportunity to resolve the issue.
17. Disclaimers
To the maximum extent allowed by law, VocaPass is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, immune from all security incidents, compatible with every device, or sufficient for a particular exam or educational result.
18. Limitation of liability
To the maximum extent allowed by law, VocaPass will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-data, lost-goodwill, or business-interruption damages. For paid-access claims, aggregate liability will not exceed the amount paid for the affected access period unless applicable law requires otherwise.
19. Changes to these Terms
We may update these Terms for product, legal, payment, security, or operational reasons. Material changes apply prospectively unless immediate application is required for law, security, fraud prevention, payment compliance, or service integrity. Purchase-specific terms saved with a completed purchase remain governed by the saved purchase record where required by the product specification.
20. Governing law and venue
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Subject to non-waivable consumer protection rights in your location, disputes must be brought in the state or federal courts located in Santa Clara County, California, and both parties consent to that venue.
